1. COMPANY INFORMATION AND IDENTIFICATION

vidsells.com is owned and operated by Taras Kopachynskyi, a sole proprietor registered in Germany.

These Terms are governed by the laws of Germany.

2. USER-GENERATED CONTENT

2.1. By uploading, submitting or otherwise making available any video, description, image or other content (“User Content”) on vidsells.com, you represent and warrant that:

- You own or have the necessary licenses, rights, consents and permissions to use and authorize us to host and display such User Content.
- Your User Content does not infringe any third party’s intellectual property, privacy or other rights.
- Your User Content complies with all applicable laws and these Terms.

2.2. You grant vidsells.com a non‑exclusive, worldwide, royalty‑free, sublicensable license to host, store, display, reproduce, modify (for technical purposes, such as transcoding or reformatting) and distribute your User Content solely to operate and improve the Service.

2.3. You are solely responsible for your User Content. We do not endorse any User Content and we disclaim any liability related to it.

2.4. We reserve the right, but have no obligation, to review, flag, remove or disable access to any User Content that violates these Terms or applicable law, without prior notice.

2.5. Prohibited User Content includes, but is not limited to:

- Content that is illegal, defamatory, obscene, pornographic, or promotes violence.

- Spam, misleading metadata, fake reviews or artificially inflated views.
- Malicious code, phishing links, or content that attempts to bypass our security measures.
- Content that impersonates another person or entity.

3. LEAD GENERATION AND EXTERNAL LINKS

3.1. vidsells.com is a lead generation platform. We connect users (“Buyers”) with third‑party sellers (“Merchants”) through video reviews, and we may provide direct links (“Buy Now” or similar buttons) to external websites where products can be purchased.

3.2. We do not sell, warehouse, ship, or refund any products. We are not a party to any transaction between you and a third‑party merchant.

3.3. When you click on an external link (including “Buy Now” buttons), you leave vidsells.com and enter a third‑party website. We do not control, operate, or assume any responsibility for:

- the availability, accuracy, legality or completeness of any product, offer or content on that external website;
- the privacy or security practices of that external website;
- any issues with payment, delivery, returns, refunds, or customer service.

3.4. We may receive a commission, referral fee, or other compensation when you make a purchase after clicking on such links. This does not affect the price you pay, nor does it create any agency, partnership, or joint venture between us and the merchant.

3.5. You acknowledge and agree that your interaction with any third‑party website is solely between you and that third party. We strongly recommend that you review the terms of service and privacy policy of any external website before making a purchase.

3.6. Under no circumstances shall vidsells.com be held liable for any loss, damage, or dispute arising from your use of or reliance on any external link, product, or service offered by a third‑party merchant.

4. PAYMENTS AND REFUNDS

4.1. Certain features of vidsells.com (for example, a Pro account) may be subject to payments, recurring subscriptions, or one‑time fees. All prices are clearly stated in your account dashboard before you complete the payment.

4.2. By subscribing to a paid plan, you authorize us to charge the provided payment method (e.g., credit card, PayPal) on a recurring basis according to the selected billing cycle (monthly, yearly, etc.) until you cancel the subscription.

4.3. You may cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No further charges will be made after cancellation, but we will not issue a refund for fees already paid for the current period (except as required by law).

4.4. We do not provide refunds or credits for partial subscription periods, unused features, or if you decide to stop using the Service before the end of your billing cycle. This includes situations where your video uploads remain unused or your account becomes inactive.

4.5. In the event of a proven technical error on our side that prevents access to paid features for more than 7 consecutive days, you may request a pro‑rated refund for the downtime period. To request a refund, you must contact us at support@vidsells.com within 14 days after the issue is resolved, providing relevant evidence.

4.6. If a recurring payment fails (for example, due to expired card or insufficient funds), your account will be downgraded to the free plan. We will attempt to notify you via email before the downgrade.

4.7. All fees are exclusive of taxes (VAT, GST, sales tax, etc.). You are responsible for any applicable taxes. Where required by law, we will add taxes to the displayed price.

4.8. We reserve the right to change subscription fees. Any fee change will be posted on the Site. If you do not agree to the new fees, you may cancel your subscription before the change takes effect.

5. DISCLAIMER OF WARRANTIES

5.1. You expressly agree that your use of the service is at your sole risk. The service is provided on an “as is” and “as available” basis.

5.2. To the fullest extent permitted by law, vidsells.com and its owner, directors, employees, and agents disclaim all warranties of any kind, whether express or implied, including but not limited to:

- implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- warranties that the service will be uninterrupted, timely, secure, or error-free;
- warranties regarding the accuracy, reliability, or completeness of any user content, external links, or product information displayed on the site.

5.3. We do not warrant that:

- any video will be converted, processed, or stored without errors (including issues related to FFmpeg, server configuration, cloud storage, or hosting outages);
- external links (e.g., “buy now” buttons) will always lead to a functional product page;
- your account or videos will remain available in case of force majeure, cyberattack, or third‑party service failure (such as DigitalOcean Spaces, AWS, or your domain registrar).

5.4. No advice or information, whether oral or written, obtained by you from vidsells.com or through the service shall create any warranty not expressly stated in these terms.

5.5. You acknowledge that we do not control, endorse, or guarantee the quality, safety, or legality of products advertised through video reviews, nor do we control the actions of third‑party sellers.

6. AGE RESTRICTION

6.1. You must be at least 16 years old (or the age of digital consent in your country of residence) to create an account or upload content on vidsells.com.

6.2. If you are between 13 and 16 years old (or the applicable age in your jurisdiction), you may only browse the Site and watch videos. You may not register an account, upload videos, submit comments, or provide any personal data without verifiable parental consent.

6.3. By registering or uploading content, you confirm that you meet the minimum age requirement and that any information you provide about your age is accurate.

6.4. We do not knowingly collect personal information from children under 13 years old. If you believe that a child under 13 has provided us with personal data, please contact us at support@vidsells.com and we will delete the information promptly.

6.5. We reserve the right to suspend or terminate accounts that we reasonably suspect belong to users who do not meet the age requirements, without prior notice.

7. PROHIBITED ACTIVITIES

7.1. You agree not to:

- upload, post, or transmit any User Content that violates any applicable law or third‑party right;
- artificially inflate views, likes, comments, or any other engagement metric;
- scrape, crawl, or collect any data from the Site without our prior written consent;
- use the Site to distribute spam, phishing links, malware, or other harmful content;
- impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- interfere with or disrupt the integrity or performance of the Service, including attempting to bypass any security or rate‑limiting measures;
- use the Service for any illegal purpose or to promote illegal activities.

7.2. Violation of this section may result in immediate suspension or termination of your account, removal of your User Content, and, where applicable, disclosure to law enforcement.

8. LIMITATION OF LIABILITY

8.1. To the maximum extent permitted by law, in no event shall vidsells.com or its owner, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Service.

8.2. Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid us in the three (3) months preceding the event giving rise to the claim, or (b) €50 (fifty euros).

8.3. The foregoing limitations apply even if we have been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. These Terms and any dispute arising out of or relating to them shall be governed by the laws of Germany, without regard to its conflict of laws principles.

9.2. Any dispute, claim, or controversy arising from or related to these Terms or the Service shall be resolved through good‑faith negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Bad Oeynhausen, Germany.

9.3. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property or other proprietary rights.

10. TERMINATION

10.1. You may terminate your account at any time from your account settings. Upon termination, your User Content will no longer be publicly visible. However, residual copies may remain in our backups or cloud storage for a limited period (up to 30 days).

10.2. We may suspend or terminate your account immediately without prior notice if you breach these Terms.

10.3. Upon termination for breach, we may delete your User Content and any associated data without any refund of pre‑paid fees (if applicable).
